Terms of Use

These Terms of Use (“Terms”) govern your use of scrubcapital.com and its subdomains, and of the tools Scrub Capital (“Scrub,” “we,” “us”) makes available to members of the Scrub Collaborative (the “Community”), including our member dashboard, knowledge graph, Scrub Intelligence, and Scrubby (together, the “Services”). By using the Services you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. Not an offer or investment advice

The Services are for informational and community purposes only. Nothing in them constitutes an offer to sell or a solicitation of an offer to buy any security, or investment, legal, tax, or medical advice. Any offer of securities will be made only by means of a confidential offering memorandum and in accordance with applicable securities laws. Investing in early-stage companies involves significant risk, including the risk of total loss. Past performance is not indicative of future results.

2. Eligibility and accounts

You must be at least 18 years old to use the Services. Access to member tools is limited to people we have approved, and we may grant, limit, or withdraw access at our discretion. You are responsible for keeping your sign-in credentials secure and for activity under your account, and you agree to tell us promptly at info@scrubcapital.com if you believe your account has been used without your permission. Information you give us, including in applications, must be accurate.

3. Confidentiality

Members may see non-public information, including company pitches, diligence materials, investment discussions, and other members’ profiles and contributions. You agree to keep that information confidential, to use it only to participate in the Community, and not to share, publish, or trade on it. This obligation continues after your access ends.

4. Acceptable use

You agree not to:

• Use the Services in violation of any law, including securities and privacy laws;
• Share patient information or other protected health information through the Services;
• Harass, impersonate, or misrepresent your affiliation with any person;
• Scrape, bulk-export, or systematically copy Community data, or use it to build a competing product or contact list;
• Attempt to gain unauthorized access to the Services, probe or test their security, or interfere with their operation;
• Upload malware or content that infringes anyone’s rights.

5. Your content

You keep ownership of the content you submit, including applications, messages, and pitch materials. You grant Scrub a non-exclusive, worldwide, royalty-free license to use, store, reproduce, and display that content to operate and improve the Services, support the Community, and evaluate investment opportunities, as described in our Privacy Policy. You confirm you have the right to share what you submit.

6. AI-assisted tools

Some Services, including Scrubby and Scrub Intelligence, use artificial intelligence to summarize, search, and suggest connections. Their output can be incomplete or wrong. Verify anything important before relying on it, and do not treat it as professional advice.

7. Our intellectual property

The Services, including their design, software, and the compilation of Community data, are owned by Scrub or its licensors and protected by intellectual property laws. Except for the limited right to use the Services under these Terms, no rights are granted to you.

8. Third-party services

The Services rely on and link to third-party services such as Slack, Google, and Luma. Your use of them is governed by their own terms and privacy policies, and we are not responsible for them.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that information in them is accurate or complete.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SCRUB AND ITS PARTNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR INVESTMENT, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to indemnify and hold Scrub harmless from claims, losses, and expenses, including reasonable attorneys’ fees, arising from your breach of these Terms or your misuse of the Services.

12. Ending your access

You may stop using the Services at any time and may request deletion of your information as described in the Privacy Policy. We may suspend or end your access if you breach these Terms or to protect the Community. Sections 3, 5, and 9 through 14 survive termination.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the Community or by email, and the “Last updated” date above will reflect the most recent version. Continued use after an update constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Delaware, and you consent to their jurisdiction.
